software license agreement

"Software" refers to ProjectGlade.PersoServer and all associated source code, binaries, documentation, configuration files, and related materials. "Licensor" refers to Smartvill Solutions Limited, a company registered and operating under applicable laws. "Licensee" refers to any individual or entity that has been granted rights to use this Software under a valid license agreement with the Licensor.

Subject to the terms and conditions of this Agreement, Smartvill Solutions Limited grants the Licensee a limited, non-exclusive, non-transferable license to use the Software solely for the purposes specified in the applicable commercial agreement between the parties.

The Licensee shall NOT: - Copy, modify, adapt, translate, or create derivative works of the Software without prior written consent. - Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software. - Distribute, sublicense, lease, rent, or lend the Software to any third party. - Remove, alter, or obscure any proprietary notices, labels, or marks on the Software. - Use the Software for any unlawful purpose or in violation of any applicable laws or regulations. - Use the Software to develop competing products or services.

All intellectual property rights in and to the Software, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, are and shall remain the exclusive property of Smartvill Solutions Limited.

The Licensee acknowledges that the Software contains confidential and proprietary information of Smartvill Solutions Limited. The Licensee agrees to: - Maintain the confidentiality of the Software. - Not disclose any part of the Software to third parties without prior written consent. - Take all reasonable measures to protect the Software from unauthorized access or use.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SMARTVILL SOLUTIONS LIMITED DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

IN NO EVENT SHALL SMARTVILL SOLUTIONS LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

This license is effective until terminated. Smartvill Solutions Limited may terminate this license at any time if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must immediately cease all use of the Software and destroy all copies in their possession.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Smartvill Solutions Limited is registered, without regard to its conflict of law provisions.

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
